These Terms and Conditions ("Terms") govern your access to and use of the Crumdex website, web application and related services (collectively, the "Service").

Please read these Terms carefully before creating an account or using the Service.

By creating an account, accessing or using the Service, you confirm that you have read, understood and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not create an account or use the Service.

These Terms should be read together with our Privacy Policy and any other policies expressly referred to within these Terms.

1. ABOUT US

1.1 The Service is operated by CRUMDEX LIMITED, a company incorporated and registered in England and Wales with company number 17349848 whose registered office is at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("Crumdex", "we", "our" or "us").

1.2 Crumdex provides an online information indexing service that enables users to record information about their assets, accounts, advisers, important documents and other matters chosen by the user so that, following the user's death or verified loss of mental capacity, that information may be released in accordance with these Terms.

1.3 Crumdex is not:

(a) a solicitor or law firm;

(b) a probate practitioner;

(c) an executor or administrator of estates;

(d) a trustee;

(e) a financial adviser;

(f) a regulated investment adviser;

(g) a bank;

(h) a password manager; or

(i) a provider of estate administration services.

1.4 Crumdex does not determine legal entitlement to assets, administer estates, decide inheritance rights or provide legal, financial or tax advice.

1.5 Crumdex®, Crum®, Crums® and associated branding are trade marks or intended trade marks of Crumdex Limited.

2. DEFINITIONS

In these Terms:

Account means your registered Crumdex user account.

Applicable Law means all applicable laws, regulations, regulatory requirements, codes of practice and legally binding obligations applying from time to time.

Content means all information, text, notes, records, files and other material uploaded or entered by a User.

Crum means an individual record created within the Service recording information chosen by a User.

Loss of Mental Capacity means circumstances in which a person lacks capacity to manage their property or financial affairs and Crumdex is reasonably satisfied of that fact through evidence it considers appropriate.

Privacy Policy means Crumdex's Privacy Policy as amended from time to time.

Service means the Crumdex website, application and all associated services.

Trusted Contact means one or more individuals nominated by a User to whom Crumdex will ordinarily seek to release the User's stored information following the User's death or verified loss of mental capacity, subject always to these Terms and Crumdex's verification requirements.

User, you and your mean the individual creating an Account or using the Service.

3. ACCEPTANCE OF THESE TERMS

3.1 These Terms constitute a legally binding agreement between you and Crumdex.

3.2 By creating an Account or otherwise using the Service you:

(a) confirm that you have read and understood these Terms;

(b) agree to be legally bound by them;

(c) confirm that all information you provide is true and accurate to the best of your knowledge;

(d) confirm that you satisfy the eligibility requirements set out in these Terms.

3.3 If you create an Account on behalf of another person or organisation, you confirm that you have authority to do so.

3.4 If you do not agree to these Terms, you must not use the Service.

4. ELIGIBILITY

4.1 You must be at least 18 years of age to create an Account or use the Service.

4.2 By creating an Account you warrant that:

(a) you are at least 18 years old;

(b) you have legal capacity to enter into these Terms;

(c) the information you provide during registration is accurate;

(d) you will keep your information up to date.

4.3 Crumdex does not verify the age of Users and may rely upon the information provided during registration.

4.4 If Crumdex reasonably believes that you do not satisfy the eligibility requirements, we may suspend or terminate your Account.

5. DESCRIPTION OF THE SERVICE

5.1 Crumdex provides an online information indexing platform.

5.2 The Service enables Users to create records identifying information such as:

(a) financial accounts;

(b) investments;

(c) insurance policies;

(d) pensions;

(e) professional advisers;

(f) important documents;

(g) digital assets;

(h) property information; and

(i) such other information as the User chooses to record.

5.3 Crumdex stores information supplied by Users.

5.4 Crumdex does not independently verify:

(a) whether any recorded asset exists;

(b) whether any information is accurate;

(c) whether any document remains current;

(d) ownership of assets;

(e) legal rights relating to recorded information.

5.5 Users remain solely responsible for ensuring that the information recorded within their Account is accurate, complete and kept up to date.

5.6 Crumdex may introduce, modify, suspend or withdraw features of the Service from time to time.

6. USER ACCOUNTS

6.1 You must create an Account before using the Service.

6.2 During registration you must provide accurate and complete information.

6.3 You are responsible for ensuring that your contact details remain accurate and up to date.

6.4 You are responsible for maintaining the confidentiality of your login credentials.

6.5 You must notify Crumdex promptly if you believe your Account has been accessed without authority.

6.6 You must not:

(a) allow another person to use your Account;

(b) impersonate another person;

(c) create an Account using false information;

(d) use another person's identity.

6.7 Crumdex reserves the right to suspend or terminate Accounts where information provided is false, misleading or otherwise breaches these Terms.

7. ELECTRONIC COMMUNICATIONS

7.1 By creating an Account you consent to receive communications from Crumdex electronically.

7.2 Such communications may include:

(a) account notifications;

(b) security notifications;

(c) verification requests;

(d) important updates regarding the Service;

(e) changes to these Terms;

(f) privacy notices;

(g) reminder emails encouraging you to review and update your recorded information; and

(h) other communications relating to your use of the Service.

7.3 Crumdex may, but is not obliged to, send reminder emails encouraging Users to review and update their information. Failure by Crumdex to send any reminder shall not affect the User's responsibility to maintain accurate records.

7.4 Users remain solely responsible for ensuring that the information held within their Account remains accurate and current whether or not any reminder is sent or received.

7.5 You are responsible for ensuring that the email address associated with your Account remains valid and accessible.

7.6 Crumdex may treat communications sent to your registered email address as received unless we become aware that delivery has failed.

8. YOUR INFORMATION

8.1 You remain the owner of the information you upload to the Service.

8.2 By uploading Content you grant Crumdex a non-exclusive, worldwide, royalty-free licence to store, process, reproduce and use that Content solely for the purpose of:

(a) providing the Service;

(b) operating your Account;

(c) complying with Applicable Law;

(d) carrying out verification under these Terms;

(e) releasing information in accordance with these Terms;

(f) protecting Crumdex's legal rights.

8.3 You warrant that:

(a) you own the Content or are entitled to upload it;

(b) uploading the Content does not infringe the rights of any third party;

(c) the Content is lawful;

(d) the Content does not contain malicious software.

9. TRUSTED CONTACTS

9.1 Nomination of Trusted Contacts

9.1.1 The Service enables Users to nominate one or more Trusted Contacts.

9.1.2 A Trusted Contact is the person (or one of the persons) whom the User wishes Crumdex to contact or to whom Crumdex will ordinarily seek to release the User's recorded information following the User's death or verified Loss of Mental Capacity, subject always to these Terms.

9.1.3 Users may add, remove or update their Trusted Contacts at any time whilst they have access to their Account.

9.1.4 Crumdex will ordinarily rely upon the most recent Trusted Contact details recorded within the User's Account.

9.2 Nature of a Trusted Contact

9.2.1 A Trusted Contact is not:

(a) a joint account holder;

(b) a beneficiary of the User's estate by virtue of being nominated;

(c) an executor by virtue of being nominated;

(d) an attorney under a Lasting Power of Attorney by virtue of being nominated;

(e) a deputy appointed by the Court of Protection by virtue of being nominated; or

(f) otherwise entitled to receive the User's estate or assets by virtue of being nominated.

9.2.2 The nomination of a Trusted Contact records the User's contractual instruction regarding the person to whom Crumdex should ordinarily seek to release the User's recorded information, subject always to these Terms.

9.2.3 The nomination of a Trusted Contact does not determine legal ownership of any asset, succession rights, inheritance rights or entitlement to any part of the User's estate.

9.3 No Account Access

9.3.1 Trusted Contacts are not given access to the User's Account.

9.3.2 Crumdex will never disclose:

(a) passwords;

(b) PINs;

(c) authentication credentials;

(d) login details; or

(e) any other security credentials used to access the Service.

9.3.3 Following successful verification, Crumdex will instead provide a copy of the information recorded by the User in accordance with these Terms.

10. RELEASE OF INFORMATION

10.1 Purpose of the Service

10.1.1 Crumdex is an information-sharing service. For the avoidance of doubt, Crumdex releases only the information recorded by the User. Crumdex does not transfer ownership or control of any underlying asset, account or service.

10.1.2 The purpose of the Service is to assist Users in recording information during their lifetime so that, following death or verified Loss of Mental Capacity, that information may be released in accordance with these Terms.

10.1.3 Crumdex does not:

(a) administer estates;

(b) determine inheritance rights;

(c) determine beneficial ownership of assets;

(d) decide competing claims to an estate;

(e) provide probate services;

(f) provide legal advice;

(g) determine legal entitlement to receive assets.

10.1.4 The release of information under these Terms constitutes the implementation of the User's contractual instructions to Crumdex and does not constitute estate administration or the determination of legal rights.

10.2 Circumstances in which information may be released

10.2.1 Crumdex may consider releasing recorded information only where it is reasonably satisfied that:

(a) the User has died; or

(b) the User has suffered a verified Loss of Mental Capacity.

10.2.2 Information will not be released solely because a request has been made.

10.2.3 Every request is subject to Crumdex's verification process.

11. THE VERIFICATION PROCESS

11.1 General

11.1.1 Before releasing any information, Crumdex will carry out such verification as it reasonably considers appropriate in the circumstances.

11.1.2 Crumdex may require such evidence, information and documentation as it reasonably considers appropriate before releasing any information.

11.1.3 Crumdex may rely upon documentation, information and evidence provided during the verification process unless it has reasonable grounds to believe that such documentation or information is inaccurate, fraudulent or otherwise unreliable.

11.2 Evidence

11.2.1 Without limitation, Crumdex may require:

(a) evidence of death;

(b) evidence of Loss of Mental Capacity;

(c) Grant of Probate;

(d) Letters of Administration;

(e) a copy of the User's Will;

(f) evidence of identity;

(g) evidence of relationship;

(h) evidence of appointment as executor or administrator;

(i) a registered Property and Financial Affairs Lasting Power of Attorney;

(j) a Court of Protection Deputyship Order;

(k) statutory declarations;

(l) court orders;

(m) certified translations;

(n) notarised documentation;

(o) legalised documents;

(p) apostilled documentation;

(q) additional supporting information;

(r) independent verification;

(s) any other evidence which Crumdex reasonably considers appropriate.

11.2.2 The above list is illustrative only and is not exhaustive.

11.3 Additional verification

11.3.1 Crumdex may:

(a) request further evidence;

(b) make additional enquiries;

(c) seek clarification;

(d) request replacement documentation;

(e) undertake independent verification;

(f) require further identification;

(g) decline to proceed until it is reasonably satisfied.

12. PERSONS TO WHOM INFORMATION MAY BE RELEASED

12.1 Trusted Contact

12.1.1 In the ordinary course, Crumdex will seek to release the User's recorded information to the nominated Trusted Contact.

12.1.2 This reflects the User's instructions made during their lifetime.

12.2 Alternative recipient

12.2.1 If the Trusted Contact:

(a) has died;

(b) cannot reasonably be identified;

(c) cannot be verified;

(d) cannot be contacted;

(e) declines to receive the information;

(f) is unwilling to cooperate with the verification process; or

(g) other exceptional circumstances exist,

Crumdex may, in its absolute discretion:

(i) release the information to another appropriately verified person;

(ii) request additional verification;

(iii) refuse the request;

(iv) delay release pending further enquiries; or

(v) take such other action as Crumdex reasonably considers appropriate.

12.2.2 Nothing in these Terms obliges Crumdex to release information to any particular individual.

13. DISPUTES AND COMPETING CLAIMS

13.1 If Crumdex reasonably believes that:

(a) competing claims exist;

(b) documentation is inconsistent;

(c) fraud may have occurred;

(d) identity cannot be satisfactorily verified;

(e) legal proceedings are pending;

(f) the information provided is incomplete;

(g) further verification is reasonably required,

Crumdex may:

(i) refuse to release information;

(ii) suspend consideration of the request;

(iii) seek additional evidence;

(iv) await the outcome of legal proceedings;

(v) require further verification;

(vi) decline to act until Crumdex is reasonably satisfied.

13.2 Crumdex shall not be liable for any delay arising from compliance with this clause.

14. INTERNATIONAL REQUESTS

14.1 Requests originating outside the United Kingdom may require additional verification.

14.2 Crumdex may require:

(a) certified English translations;

(b) notarisation;

(c) legalisation;

(d) apostilles;

(e) verification by appropriately qualified professionals;

(f) independent authentication.

14.3 Crumdex may decline to release information until it is reasonably satisfied regarding the authenticity and reliability of overseas documentation.

15. VERIFICATION AND ADMINISTRATION FEES

15.1 Crumdex reserves the right to charge verification and administration fees in connection with requests made following a User's death or verified Loss of Mental Capacity.

15.2 Before undertaking chargeable verification work, Crumdex will notify the applicant of any applicable fee and, where appropriate, provide an estimate or quotation.

15.3 Crumdex may require payment of all or part of the applicable fee before commencing or completing its verification process or releasing any information.

15.4 Enhanced or complex matters may attract additional charges, including (without limitation):

(a) overseas documentation;

(b) certified translations;

(c) notarisation;

(d) multiple verification stages;

(e) disputed claims;

(f) exceptional investigations;

(g) legal review;

(h) any other matter requiring additional time or resources.

15.5 Where the circumstances are unusually complex, Crumdex may provide a bespoke quotation before undertaking further work.

16. USER RESPONSIBILITIES

16.1 Accuracy of Information

16.1.1 You are solely responsible for all information you choose to record within your Account.

16.1.2 You must take reasonable care to ensure that the information you record is:

(a) accurate;

(b) complete;

(c) not misleading; and

(d) kept up to date.

16.1.3 Crumdex does not verify the accuracy of information recorded by Users and accepts no responsibility for ensuring that such information remains current.

16.2 Lawful Use

You must use the Service only for lawful purposes.

You must not use the Service:

(a) in breach of any Applicable Law;

(b) to facilitate fraud or other unlawful activity;

(c) to infringe the intellectual property rights of another person;

(d) to upload malicious software or harmful code;

(e) to interfere with the operation or security of the Service;

(f) to impersonate another person;

(g) to upload information you know to be false or misleading;

(h) to harass, threaten or abuse another person; or

(i) in any manner that could damage, disable or impair the Service.

16.3 Your Responsibility for Security

You are responsible for:

(a) maintaining the confidentiality of your login credentials;

(b) preventing unauthorised access to your Account;

(c) notifying Crumdex promptly if you believe your Account has been compromised;

(d) ensuring that any device used to access the Service is appropriately protected.

16.4 Reviewing Your Information

The purpose of Crumdex is to provide an up-to-date record of information chosen by you.

Accordingly, you should review your recorded information regularly and update it whenever circumstances change.

Failure to do so may result in inaccurate or outdated information being released in accordance with these Terms.

17. PROHIBITED CONTENT

You must not upload or record:

(a) unlawful material;

(b) defamatory material;

(c) material that infringes copyright, trade marks or other intellectual property rights;

(d) malicious software;

(e) viruses;

(f) ransomware;

(g) material intended to interfere with the Service;

(h) information that you are not legally entitled to disclose;

(i) material promoting criminal activity;

(j) material that is obscene, threatening or abusive.

Crumdex may remove any such material without notice.

18. INTELLECTUAL PROPERTY

18.1 Ownership

All intellectual property rights in:

(a) the Service;

(b) the Crumdex software;

(c) the website;

(d) the application;

(e) databases;

(f) branding;

(g) logos;

(h) trade marks;

(i) designs;

(j) documentation;

(k) text;

(l) graphics; and

(m) all related materials,

remain the property of Crumdex or its licensors.

Nothing in these Terms transfers ownership of any intellectual property rights to you.

18.2 Limited Licence

Subject to these Terms, Crumdex grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Service for your own personal, non-commercial purposes.

18.3 Restrictions

You must not:

(a) copy the software;

(b) modify the software;

(c) reverse engineer the software except where expressly permitted by law;

(d) create derivative works;

(e) attempt to gain unauthorised access to the Service;

(f) scrape or harvest data from the Service;

(g) use automated tools to access the Service without our written permission.

19. THIRD-PARTY SERVICES

19.1 The Service may utilise services provided by third parties.

These may include (without limitation):

(a) cloud hosting providers;

(b) authentication providers;

(c) email service providers;

(d) payment processors;

(e) analytics providers;

(f) infrastructure providers.

19.2 Crumdex may change third-party providers at any time without notice where reasonably necessary for the operation, maintenance or improvement of the Service.

19.3 The availability and performance of certain features may depend upon third-party services over which Crumdex has no direct control.

20. SERVICE AVAILABILITY

20.1 Crumdex aims to provide a reliable and secure Service.

20.2 However, the Service is provided on an "as available" and "as is" basis.

20.3 Crumdex does not guarantee that:

(a) the Service will always be available;

(b) access will be uninterrupted;

(c) the Service will be free from errors;

(d) defects will always be corrected immediately;

(e) the Service will be compatible with every device or browser.

20.4 Crumdex may suspend access:

(a) for maintenance;

(b) for upgrades;

(c) for security reasons;

(d) to investigate suspected misuse;

(e) where required by law;

(f) where reasonably necessary to protect the Service or other Users.

21. CHANGES TO THE SERVICE

21.1 Crumdex may from time to time:

(a) improve the Service;

(b) introduce new features;

(c) withdraw features;

(d) modify functionality;

(e) discontinue obsolete features.

21.2 We will use reasonable endeavours to minimise disruption where practicable.

21.3 We do not guarantee that any particular feature will remain available indefinitely.

21.4 Crumdex reserves the right to suspend or permanently discontinue the Service, or any part of it, at any time for commercial, operational, legal, regulatory or any other legitimate business reason. Where reasonably practicable, Crumdex will give Users reasonable advance notice before permanently discontinuing the Service. Following discontinuation, Crumdex may delete or securely destroy User information in accordance with its Privacy Policy and any applicable legal or regulatory obligations.

22. ACCOUNT SUSPENSION AND TERMINATION

22.1 Suspension

Crumdex may suspend your Account immediately if we reasonably believe that:

(a) you have breached these Terms;

(b) information supplied during registration is false or misleading;

(c) your Account has been compromised;

(d) unlawful activity is suspected;

(e) your use of the Service presents a security risk;

(f) suspension is necessary to protect other Users or Crumdex.

22.2 Termination by You

You may request deletion of your Account at any time by contacting:

Crumdex will use reasonable endeavours to process your request within a reasonable period, subject always to any legal or regulatory obligations requiring retention of certain information.

22.3 Termination by Crumdex

Crumdex may terminate your Account where:

(a) these Terms have been materially breached;

(b) unlawful activity is identified;

(c) continued provision of the Service would be unlawful;

(d) we discontinue the Service;

(e) continued provision of the Service is no longer commercially viable.

Where reasonably practicable, we will provide notice before terminating an Account.

23. FUTURE PAID SERVICES

23.1 The Service may currently be provided free of charge or may include free features.

23.2 Crumdex reserves the right to introduce paid subscriptions, premium features or other paid services in the future. Paid subscriptions may be subject to separate subscription terms.

23.3 Any charges will be clearly communicated before they become payable.

23.4 You will not be charged for any new paid service unless you positively agree to the applicable pricing and payment terms.

23.5 Separate subscription terms may apply to paid services introduced in the future.

24. CHANGES TO THESE TERMS

24.1 Crumdex may amend these Terms from time to time.

24.2 Where changes are material, we will take reasonable steps to notify Users before the revised Terms take effect. Notification may be provided by email, through the Service or by publishing the updated Terms on our website.

24.3 Continued use of the Service after the effective date of revised Terms constitutes acceptance of those revised Terms.

24.4 If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your Account.

25. WARRANTIES AND DISCLAIMERS

25.1 Nature of the Service

25.1.1 Crumdex provides an information indexing and information-sharing platform.

25.1.2 Crumdex is not responsible for creating, managing or maintaining the assets, accounts, records or documents recorded by Users.

25.1.3 Crumdex does not verify:

(a) ownership of assets;

(b) the existence of assets;

(c) the accuracy of User information;

(d) whether recorded information remains current;

(e) the legal validity of any document.

25.1.4 Users remain solely responsible for reviewing and maintaining the information recorded within their Account.

25.2 No Professional Advice

Nothing within the Service constitutes:

(a) legal advice;

(b) financial advice;

(c) investment advice;

(d) tax advice;

(e) estate planning advice;

(f) probate advice; or

(g) any other regulated professional advice.

Users should obtain independent professional advice where appropriate.

25.3 No Guarantee of Outcomes

Crumdex does not guarantee that:

(a) every asset will be identified;

(b) every account will be recorded;

(c) recorded information will remain accurate;

(d) any person will ultimately obtain the benefit of the information released.

25.4 Verification Decisions

Crumdex may rely upon documentation and information supplied during its verification process unless it has reasonable grounds to believe such documentation or information is inaccurate, fraudulent or otherwise unreliable.

Verification decisions made honestly and reasonably under these Terms shall not give rise to liability merely because another person subsequently disputes the outcome.

26. LIMITATION OF LIABILITY

26.1 Nothing in these Terms excludes or limits liability for:

(a) death or personal injury caused by negligence;

(b) fraud or fraudulent misrepresentation;

(c) any liability which cannot lawfully be excluded or limited under Applicable Law.

26.2 Subject to clause 26.1, Crumdex shall not be liable for:

(a) loss of profits;

(b) loss of revenue;

(c) loss of business;

(d) loss of opportunity;

(e) loss of goodwill;

(f) loss of anticipated savings;

(g) indirect loss;

(h) consequential loss; or

(i) special loss,

whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, except where such exclusion is prohibited by law.

26.3 Crumdex shall not be liable for losses arising from:

(a) inaccurate information recorded by a User;

(b) outdated information;

(c) incomplete information;

(d) information omitted by a User;

(e) decisions made by Users or third parties based upon recorded information;

(f) delays arising from verification;

(g) refusal to release information in accordance with these Terms;

(h) compliance with legal obligations;

(i) acts or omissions of third-party service providers;

(j) internet failures;

(k) telecommunications failures;

(l) cyber attacks;

(m) events outside Crumdex's reasonable control.

26.4 Subject always to clause 26.1, Crumdex's total aggregate liability arising out of or in connection with the Service shall, to the fullest extent permitted by law, not exceed the total amount paid by the User to Crumdex during the twelve (12) months immediately preceding the event giving rise to the claim;

27. LEGAL DISCLOSURES

27.1 Nothing within these Terms restricts Crumdex from disclosing information where required or permitted by Applicable Law.

27.2 Crumdex may disclose information where reasonably required to:

(a) comply with a court order;

(b) comply with legal process;

(c) comply with a regulatory requirement;

(d) comply with another legally binding request;

(e) establish, exercise or defend legal claims;

(f) protect Crumdex's legal rights;

(g) investigate fraud or unlawful activity;

(h) comply with Applicable Law.

27.3 Any such disclosure shall be limited to the information Crumdex reasonably considers necessary in the circumstances.

28. PRIVACY

28.1 The collection and processing of personal information is governed by our Privacy Policy.

28.2 By using the Service you acknowledge that your personal information will be processed in accordance with the Privacy Policy.

29. FORCE MAJEURE

29.1 Crumdex shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control.

29.2 Such events include (without limitation):

(a) natural disasters;

(b) war;

(c) terrorism;

(d) civil unrest;

(e) industrial action;

(f) internet outages;

(g) cyber attacks;

(h) failures of third-party infrastructure;

(i) government action;

(j) pandemics.

30. ASSIGNMENT

30.1 Crumdex may assign, transfer, novate or otherwise deal with its rights and obligations under these Terms, including as part of:

(a) a sale of the business;

(b) a merger;

(c) an acquisition;

(d) a corporate restructuring; or

(e) the transfer of all or substantially all of its assets.

30.2 Users may not assign or transfer their rights under these Terms without Crumdex's prior written consent.

31. SEVERANCE

If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

32. WAIVER

Any failure or delay by Crumdex to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights.

33. ENTIRE AGREEMENT

33.1 These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between Crumdex and the User relating to the Service. Users acknowledge that they have not relied upon any statement or representation that is not expressly set out in these Terms, except where such exclusion would be unlawful.

33.2 They supersede all previous discussions, understandings and agreements relating to the Service. Nothing in these Terms creates any fiduciary duty, trustee relationship, agency, partnership, joint venture or similar relationship between Crumdex and any User, Trusted Contact or other person. Crumdex acts solely as a provider of the Service in accordance with these Terms. Clauses relating to liability, verification, release of information, intellectual property, governing law, disputes and any other provisions intended to survive termination shall continue after termination of these Terms

34. THIRD PARTY RIGHTS

A person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.

35. GOVERNING LAW

These Terms and any dispute or claim arising out of or in connection with them (including any non-contractual dispute or claim) shall be governed by and construed in accordance with the laws of England and Wales.

36. JURISDICTION

Subject to any mandatory rights available to consumers under Applicable Law, the courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms or the Service.
